1. Acceptance of these Terms
By creating an account or otherwise using [Product Name] (the "Service"), you agree to these Terms of Service ("Terms"). If you are creating an account on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.
2. What the Service Is
The Service lets you assemble, configure, and generate AI-agent-based data/workflow pipelines ("Solutions") through a guided wizard, and optionally run or download the generated Solution. The Service processes the inputs you configure (files, connectors, prompts, and related settings) using third-party AI model providers (see Section 6) to produce outputs. You are responsible for reviewing those outputs before relying on them.
3. Accounts
- You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account.
- You are responsible for keeping your credentials confidential and for all activity under your account. Tell us immediately at [Contact Email] if you suspect unauthorized access.
- We may suspend or terminate an account that violates these Terms, is inactive for an extended period, or poses a security risk to the Service or other users.
4. Individual and Organization Accounts
The Service supports two account types:
- Individual accounts are not associated with any organization. Your solutions, settings, and any optional personal knowledge base (Section 7) belong to you alone.
- Organization accounts are created by a user who becomes that organization's administrator, who may then invite teammates, configure shared org-wide settings (branding, catalog restrictions, a shared organizational knowledge base), and manage their members' access. If you join an organization, its administrator can see and manage certain data associated with your use of the Service within that organization (but not your separate individual account, if you have one).
An individual account is not automatically part of any organization, and creating an organization does not affect any separate individual account you may hold.
5. Your Content
- Ownership. You retain ownership of the files, data, prompts, and configurations you provide to the Service ("Your Content"), and of the Solutions you generate from it.
- License to operate the Service. You grant us a limited license to store, process, and transmit Your Content solely as needed to provide the Service to you (including sending relevant portions to the third-party model providers in Section 6 to generate outputs).
- Your responsibility. You represent that you have the rights necessary to upload and process Your Content through the Service, including any personal data of third parties it may contain, and that doing so complies with applicable law.
6. AI Model Providers and Generated Output
The Service uses third-party AI model providers (currently including Anthropic and OpenAI) to process Your Content and produce generated output. You acknowledge that:
- Generated output may be inaccurate, incomplete, or unsuitable for your purpose. You are solely responsible for reviewing and validating any output before relying on it or using it in a production or decision-making context.
- Data sent to a model provider is subject to that provider's own processing (see our Privacy Policy for how we handle this).
- We do not guarantee the availability, accuracy, or continued support of any particular model provider, and may add, remove, or change providers over time.
7. Personal Context / Knowledge Bases
Both individual users and organizations may optionally enable a persistent "knowledge base" or personal context feature that builds a private, continuously-refined summary from sources you connect, to improve the relevance of generated output. This feature:
- Is off by default and requires your explicit opt-in before any personal knowledge base can be created.
- Can be turned off, and all associated data permanently deleted, at any time from your account settings.
- For organization-scoped knowledge bases, is governed by the access level (none, limited, or full) your organization administrator configures.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third party's rights (including intellectual property, privacy, or data protection rights).
- Upload or generate content that is unlawful, fraudulent, defamatory, or that facilitates harm to any person or system.
- Attempt to circumvent rate limits, account restrictions, or entitlement controls, or to gain unauthorized access to any part of the Service or another user's data.
- Use the Service to build a competing product by systematically extracting our catalog, prompts, or generated harness code for that purpose.
- Send unlawful or unsolicited bulk communications, or otherwise abuse the Service's infrastructure (including automated signup, scraping, or denial-of-service activity).
We may suspend access immediately, without prior notice, for activity that we reasonably believe violates this section or threatens the security or availability of the Service.
9. Fees
As of this draft, the Service does not process payments. [Update this section before enabling any paid plan: describe pricing, billing cycle, the payment processor used, refund policy, and what happens to Your Content if a paid plan lapses or is cancelled.]
10. Termination
You may stop using the Service and request deletion of your account at any time by contacting [Contact Email]. We may suspend or terminate your access for a violation of these Terms, or discontinue the Service (or any part of it) with reasonable notice where practicable. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, governing law) will survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, [LEGAL COMPANY NAME] WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. [OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100 IF YOU HAVE PAID US NOTHING.]
13. Indemnification
You agree to indemnify and hold [Legal Company Name] harmless from claims arising out of Your Content, your violation of these Terms, or your violation of any law or third-party right.
14. Governing Law and Disputes
[Insert governing law and jurisdiction/venue, and any arbitration clause, per counsel's advice.]
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms with a new effective date, and for material changes will make reasonable efforts to notify active users before the change takes effect.
